Cleanaway Waste Management has agreed to a takeover by Swedish private equity group EQT in a deal valuing the Australian waste management and environmental services company at approximately $9.3 billion, including debt. The announcement sent Cleanaway shares up nearly 20%, reflecting investor reaction to the proposed acquisition.
Under the agreement, Cleanaway shareholders will receive $3.095 per share in cash, less the value of any dividends paid before the transaction is completed. The offer follows EQT’s indicative proposal of $3.13 per share, adjusted for Cleanaway’s final dividend paid on October 8.

Takeover Offer Represents a 32% Premium
Cleanaway said EQT’s original indicative offer valued the company at approximately $9.3 billion, including debt, and represented a 32% premium to its closing share price on August 12, the last trading day before EQT’s approach was disclosed.
The cash consideration provides shareholders with a defined proposed payment for their holdings, subject to the scheme’s terms and completion.
The proposed acquisition also marks a significant development for Cleanaway, which operates across waste management and environmental services. The transaction’s value reflects EQT’s proposal to acquire the company, although completion remains subject to the required process.

Cleanaway Board Recommends Shareholder Support
Cleanaway’s board has unanimously recommended that shareholders vote in favour of the scheme implementation deed, provided no superior proposal emerges.
The recommendation indicates that the board supports the current agreement under the stated conditions. However, shareholders will need to consider the scheme details and the outcome of the transaction process before the acquisition can be completed.
Cleanaway has also said it may pay aggregate cash dividends of up to $0.19 per share before implementation, including a fully franked special dividend. Any
dividends paid before completion will be deducted from the scheme consideration, meaning the final cash amount received under the offer will be adjusted accordingly.
What Investors Should Watch Next
Investors should monitor the shareholder approval process, any competing proposals and the timing of completion, while accounting for any dividends that may reduce the final takeover payment per share.
